Corporate Governance at AMP Capital

AMP Capital is built on a strong foundation of governance, based on a framework that we continually monitor, improve and strengthen. It‘s embedded into our decision-making process, and continues to evolve with our business as our circumstances and environment change.
AMP Capital Holdings Limited (AMPCH) is the parent company of the AMP Capital group and is responsible for the overall governance and performance of the AMP Capital group. AMP Limited owns a majority of AMPCH.

AMP Capital group’s corporate governance framework is made up of a number of entities. For Australia, these include, AMP Capital Investors Limited (AMPCI), AMP Capital Funds Management Limited (AMPCFM) and AMP Investment Services Pty Limited (AMPIS). AMPCFM is the main responsible entity of AMP Capital funds and, AMPCI and AMPIS are the trustees of certain AMP Capital trusts. National Mutual Funds Management Limited (NMFM) and Ipac Asset Management Limited (IAM) are also responsibility entities of other funds managed by the AMP Capital group.

The Boards of AMPCH, AMPCFM and AMPIS are comprised of a majority of non-executive directors. In the interests of investors, we've gone beyond the regulatory requirements for independent oversight by appointing three independent, non-executive directors to our AMP Capital responsible entity (RE) and trustee boards so that our boards comprise a majority of independent, non-executive directors.

AMP Capital Holdings Limited  

The AMP Capital Holdings Board is responsible for the overall governance and performance of the AMP Capital Group including the approval of AMP Capital’s strategy, strategic projects and significant asset purchases or divestments, and the monitoring of financial results. The Board is also responsible for oversight of the governance and risk management of the AMP Capital Group.
